IMPORTANT — READ CAREFULLY. This End-User License Agreement (“EULA”) is a legal agreement between you (an individual or a single legal entity) and HIGH-LOGIC for the FontCreator software, including associated components, and online or electronic documentation (collectively, the “SOFTWARE”). By installing or using the SOFTWARE you accept this EULA. If you do not agree, do not install or use the SOFTWARE.

1. OWNERSHIP

The SOFTWARE is licensed, not sold. HIGH-LOGIC and its licensors retain all rights, title, and interest in and to the SOFTWARE and documentation.

2. LICENSE TYPES AND SCOPE
(a) Trial / Evaluation

From within FontCreator you may request a free trial, which must be confirmed via email. The trial may be limited to one per person and/or device. After the trial period, you must purchase a perpetual or subscription license to continue using the SOFTWARE. HIGH-LOGIC may revoke trial access in cases of misuse.

(b) Perpetual License

Upon full payment, HIGH-LOGIC grants you a non-exclusive, named-user license to install and use the SOFTWARE on multiple computers solely by the same named user. If purchased by an organization, one designated natural person is the named user. Perpetual licenses entitle you to use the version purchased and any minor updates released for that version range; major upgrades may require a separate purchase unless otherwise stated in your order.

One-time transfer (perpetual only): You may permanently transfer a perpetual license once to a different end user, provided you (i) transfer all copies (including prior versions), (ii) cease all use and retain no copies, and (iii) ensure the recipient accepts this EULA. Subscription licenses are not transferable.

(c) Subscription License

During an active paid subscription term, HIGH-LOGIC grants you a non-exclusive, non-transferable, named-user license to use the SOFTWARE and any updates released during your subscription. Subscriptions renew as stated in your order or invoice and may be cancelled as described there. On lapse, cancellation, or non-payment, your right to use the SOFTWARE ends (or may continue in a limited/viewer mode if specified by HIGH-LOGIC).

(d) General Use Limitations

A single-user license may be used by one person and allows installation on up to two devices/computers, provided only that same user uses it (not concurrently by different people). You may make one backup copy for archival purposes. You may not provide the SOFTWARE as a hosted service or make it available over a network for concurrent use by multiple users.

(e) Multi-User / Seat Licenses

If your order specifies a multi-user (seat) license, then:
- You may assign the license to up to the number of seats purchased.
- Each seat is for one named user. A named user may install the SOFTWARE on up to two devices/computers, provided only that same user uses it (not concurrently by different people).
- The number of simultaneous users may not exceed the number of seats.
- You may reassign seats within your organization on a reasonable basis (e.g., personnel or role changes) but not to circumvent seat limits or to enable temporary sharing among many users.
- Seat licenses may be perpetual or subscription as stated on your order; transfer rules follow §2(b) for perpetual (one-time transfer) and remain non-transferable for subscriptions.

3. ACTIVATION AND LICENSE VERIFICATION (ONLINE REQUIREMENT)

An internet connection is required to (i) activate the SOFTWARE and (ii) periodically verify that your license is valid. The SOFTWARE may automatically perform license checks at reasonable intervals (for example, about every 30 days). If verification cannot be completed, the SOFTWARE may display reminders and provide a grace period (for example, 7 days) before functionality is reduced or access is blocked until verification succeeds. For multi-user/seat licenses, activation and verification may be used to enforce seat limits. Attempting to bypass, disable, or tamper with activation/verification is prohibited and constitutes a material breach of this EULA.

4. RESTRICTIONS

You may not reverse engineer, decompile, or disassemble the SOFTWARE except to the limited extent permitted by applicable law. You may not rent, lease, lend, sublicense, time-share, or otherwise provide the SOFTWARE to third parties. You may not circumvent technical protection measures or license enforcement.

5. DATA USED FOR ACTIVATION, VERIFICATION, AND SUPPORT

To activate and verify your license and to provide updates/support, the SOFTWARE may process limited information such as license ID, product and version, hashed/device identifiers, operating system metadata, IP address, timestamps, and error/diagnostic codes. This processing is necessary to perform the contract and protect our services from misuse.

6. SUPPORT AND UPDATES

Support and update entitlements depend on your license type and order terms. Any supplemental code provided as part of support or updates is part of the SOFTWARE and subject to this EULA.

7. TERM AND TERMINATION

This EULA remains in effect for perpetual licenses unless terminated and for subscriptions through the end of the paid term. HIGH-LOGIC may suspend or terminate your license if you materially breach this EULA (including failure to complete license verification) or, for subscriptions, upon non-payment. On termination you must cease use and uninstall the SOFTWARE. Sections intended to survive (e.g., ownership, disclaimers, limitations of liability, governing law) will survive.

8. INTELLECTUAL PROPERTY NOTICE

You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you and that the SOFTWARE is protected by applicable copyright and international treaties. You will not remove or alter proprietary notices.

9. NO WARRANTIES

To the maximum extent permitted by law, the SOFTWARE and documentation are provided “AS IS” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You bear the entire risk as to the quality and performance of the SOFTWARE.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event will HIGH-LOGIC be liable for any indirect, special, incidental, consequential, or punitive damages, or loss of profits, revenue, data, or business. HIGH-LOGIC’s aggregate liability for all claims relating to the SOFTWARE will not exceed the fees you paid for the SOFTWARE in the 12 months preceding the event giving rise to liability (or U.S.$1.00 if no fees were paid). Nothing in this EULA limits liability that cannot be limited by law or your non-waivable consumer rights where applicable.

11. THIRD-PARTY SOFTWARE

The SOFTWARE may include or link to third-party components provided under separate open-source or third-party terms (e.g., MPL-licensed libraries). Those terms govern the third-party components. A current list and notices are provided in the SOFTWARE, a NOTICE file, or on our website.

12. EXPORT, SANCTIONS, AND COMPLIANCE

You represent that you are not located in, and will not export or re-export the SOFTWARE to, any country or person prohibited by applicable export control or sanctions laws. You will comply with all such laws.

13. GOVERNING LAW AND VENUE

This EULA is governed by the laws of the Netherlands, excluding its conflict-of-laws rules. The courts of Utrecht, the Netherlands will have exclusive jurisdiction, without prejudice to mandatory venue rules for consumers where applicable.

14. MISCELLANEOUS

This EULA (together with your order terms and the Privacy Policy referenced above) is the entire agreement for the SOFTWARE. If any provision is held unenforceable, the remainder will remain in effect. You may not assign this EULA without HIGH-LOGIC’s prior written consent; HIGH-LOGIC may assign it in connection with a reorganization, merger, or sale. No failure to enforce is a waiver. HIGH-LOGIC may update this EULA for legal/operational reasons; material changes will be notified in a reasonable manner, and continued use after the effective date constitutes acceptance.

BY USING FONTCREATOR, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS EULA AND AGREE TO BE BOUND BY ITS TERMS.
